BRISTLECONE VAULT FEE SCHEDULE

This Fee Schedule is incorporated by reference into the Bristlecone Vault Manufacturer Platform Agreement and Collector Terms of Service. Capitalized terms not defined here have the meanings given to them in those agreements. All fees are stated in U.S. dollars and are exclusive of any taxes, network fees, or third-party processor fees, which are passed through at cost unless otherwise stated.
The Platform may update this Fee Schedule from time to time in accordance with the notice provisions of the applicable agreement. The version and effective date shown at the top of this page control.
Section 1 — Primary Sale Fees (Manufacturer → Collector)
• Platform Fee: 9% of the gross sale price of each Token sold by a Manufacturer in a primary sale, deducted from the Manufacturer's payout.
• Payment Processing Fee: Pass-through at cost from the Platform's payment processor (currently approximately 2.9% + $0.30 per card transaction). Deducted from the Manufacturer's payout.
• Minting Fee (blockchain network cost): Pass-through at cost. The Platform absorbs mint gas for up to one thousand (1,000) Tokens per Drop as a launch courtesy. Tokens minted in excess of that threshold within a single Drop, and any single Drop comprising more than 1,000 Tokens, are billed at cost to the Manufacturer based on actual on-chain gas consumed at time of mint. The Platform may modify or withdraw the courtesy absorption on 30 days written notice.
Section 2 — Secondary Market Fees (Collector → Collector)
• Minimum Listing Price: $20.00 USD. Listings below this floor are not permitted on the secondary market.
• Platform Fee: 2.5% of the gross sale price, charged to the seller and deducted from the seller's payout.
• Buyer Premium: 2.5% of the gross sale price, charged to the buyer and added to the purchase total at checkout.
• Manufacturer Royalty: The Royalty percentage set by the original Manufacturer at the time of Minting (typically 2.5%–10%), enforced by the Platform's closed marketplace and routed to the Manufacturer on settlement.
• Payment Processing Fee: Pass-through at cost from the Platform's payment processor.
Section 3 — Redemption Fees
• Redemption Administrative Fee: $25.00 flat per redemption request, charged to the redeeming Collector. This is the only fee the Platform collects in connection with a redemption.
• Shipping, Handling, and Insurance: Arranged and paid directly between the redeeming Collector and the Manufacturer (or the Manufacturer's Certified Vault Partner) off-Platform. The Platform does not collect, forward, mark up, or invoice shipping, handling, insurance, repackaging, or import-duty costs, and is not a party to the shipping arrangement. The Manufacturer's support contact is disclosed to the Collector on the redemption record for any shipping-related questions or disputes.
• Certified Vault Partner Release Fee: Any release, withdrawal, or handling fee imposed by a Certified Vault Partner in connection with a redemption is a matter between the Manufacturer (and/or its Certified Vault Partner) and the redeeming Collector. The Platform does not collect or pass through such fees.
Section 4 — Account and Listing Fees
• Collector Account: Free to create and maintain.
• Manufacturer Account: Free to create and maintain. The Platform does not charge a monthly subscription, listing fee, or per-mint fee at this time.
• Listing Cancellation: Free. Sellers may cancel an active listing at no cost prior to a confirmed sale.
Section 5 — Refunds, Chargebacks, and Reversals
• Refunds: Platform Fees are non-refundable except where required by law or where a transaction is reversed due to Platform error.
• Chargebacks: A $15.00 administrative fee may be assessed against a Manufacturer or seller account in the event of a payment chargeback, in addition to any amount reversed by the payment processor.
• Fraud Reserve: The Platform may hold a reserve against Manufacturer payouts in accordance with Section 4 of the Manufacturer Platform Agreement.
Section 6 — Pass-Through and Third-Party Fees
Fees identified as "pass-through" are charged by third parties (payment processors, blockchain networks) and are not retained by the Platform. The Platform does not mark up pass-through fees. Actual amounts will be disclosed at the point of transaction. Shipping, insurance, and Certified Vault Partner release charges in connection with a redemption are not pass-through items handled by the Platform — they are arranged and paid directly between the Collector and the Manufacturer off-Platform.
Section 7 — Changes to this Fee Schedule
The Platform may amend this Fee Schedule on 30 days written notice to affected users, except that pass-through fees may change without notice to reflect changes by the underlying third-party provider. Continued use of the Platform after the effective date of an amendment constitutes acceptance of the amended Fee Schedule.
